Adam M. Roseman — Founder and Managing Director
Mr. Roseman founded ARC China in 2008 to focus on investments in Chinese domestic consumption-oriented SMEs in second and third tier cities. Prior to founding ARC China, Mr. Roseman was an investment banker at Barrington Associates and Lehman Brothers, working in M&A, as well as public offerings of debt and equity. Mr. Roseman is currently a member of both the Board of Trustees of Big Brothers Big Sisters of Los Angeles and the Board of Governors Member of Cedars-Sinai Medical Center as well as a member of the Clinton Global Initiative. He was recognized in 2007 by Los Angeles Business Journal as one of Los Angeles’ top entrepreneurs under 30 years of age. Mr. Roseman is a current board member and former board member of numerous public and private companies. He has appeared on numerous international and Chinese media outlets, including print and television, discussing China and its interaction with the international capital markets. Mr. Roseman is currently based in Shanghai.
Michael Bruck – COO and Managing Director
Michael Bruck’s international experience spans over 30 years of investment and operational experience in China, Silicon Valley and Wall Street. Mr Bruck has founded and operated numerous companies and has led other companies in their development of global markets. Prior to joining ARC, Mr. Bruck was CEO of East Broadway Advisors, a Hong Kong-based financial advisory firm. Previously, Mr. Bruck was a Managing Director at Tripod Capital, a China-focused private equity fund, where he was responsible for setting up and managing the fund’s infrastructure, financial and back-office systems as well as serving on the fund’s investment committee. Prior to Tripod, Mr. Bruck was Vice President of International Development at Zetera Corporation, a U.S.-based IT company, where he was responsible for the company’s entry and expansion into China and Europe. Prior to Zetera, Mr. Bruck was a Managing Director at Nolan Securities Corporation, where he executed financing transactions in the technology, entertainment, and telecommunications industries. Mr. Bruck has also advised companies expanding their businesses in Greater China. From 1983 to 1999, Mr. Bruck held numerous senior positions at Intel Corporation including serving as aide to Andy Grove, Intel’s President and CEO, where he worked closely with Dr. Grove and Intel’s executive team to identify future growth markets for Intel and to define Intel’s future strategic direction. After serving as aide to Dr. Grove, Mr. Bruck was appointed General Manager of Intel China where he was responsible for building Intel’s brand and revenues in China, which increased four-fold during his tenure. After serving as General Manager of Intel China, Mr. Bruck was appointed Director of Intel’s Content Group, where he developed strategic alliances with leading entertainment and software companies. Mr. Bruck received his Bachelor of Science (Honours) and Master of Science degrees in Electronic and Electrical Engineering from the University of Manchester in the U.K. and has studied finance and marketing at the Anderson School of Business at UCLA.
Ivan Chang — Managing Director
Prior to joining ARC China, Mr. Chang was the CEO of a financial consulting company, SpringLegend, in ChengDu City, Sichuan Province China specialize in assisting China companies to restructure and M&A. Prior to SpringLegend, he was a Vice President of business development in HimaSoft in Guangzhou City China, where he was primarily engaged in M&A and fund raising. He is a member of Taiwanese Investment and Business Association ChengDu.
Alan Chen — Managing Director
Prior to joining ARC China, Mr. Chen worked as a manager at Wisdom Capital Group (Shanghai), where he executed numerous private placement and investment transactions in the new technology, media and medicine in China. Mr. Chen also helped lots of companies with a wide range of corporate financing services. He has a rich experience in project management and development. Mr. Chen led and participate in private financing and enlisting overseas or domestic of some enterprises, is familiar with mainland, HK, US and other overseas capital market. Prior to joining Wisdom, Mr. Chen was an analyst at several securities companies including Gangao and Haitong, focusing on analyzing stock market trends and public companies foundation sectors and conducting the client to invest. Because of his expertise in stock investment, he used to be a special writer for many financial newspapers and magazines. Mr. Chen also is a member of Chinese CPA Association.
Gordon Chin – Managing Director
Prior to joining ARC China, Mr. Chin was an Associate at the Hong Kong office of the New York-based law firm Davis Polk & Wardwell LLP. While at Davis Polk, he advised clients on over $3 billion in transaction value spanning cross-border M&A, private equity investments and buyouts and public debt and equity offerings. He has executed numerous private equity transactions in the region for clients such as Citadel Equity Fund, Morgan Stanley Infrastructure Partners and Quadrangle Capital Partners. Previously, Mr. Chin was an analyst at Analysis Group Economics in Los Angeles where he developed financial models for commercial and financial litigation. Mr. Chin holds a J.D. from Stanford Law School and is admitted to the bar of the State of New York.
Barry Freeman — Managing Director
Prior to joining ARC China, Mr. Freeman was a Vice President at Knight Capital Group (NASDAQ: NITE) in New York. He was a member of the Capital Markets Group raising growth capital for private and public companies. At Knight, he focused on cross border transactions with Chinese companies and completed over $100 million in equity and equity linked transactions over a three- year period. Prior to Knight, Mr. Freeman was a Vice President at HPC Capital Management in New York, focusing on direct investments in public companies.
Mengjiao Jiang — Managing Director
Prior to joining ARC China, Ms. Jiang was an Associate Director at Business Development Asia (Shanghai) where she executed numerous Joint Venture, Acquisition and Divestiture transactions in the chemical, fast-moving consumer goods, and manufacturing sectors in Asia, focusing on China. Ms. Jiang started her career at UBS Investment Bank in New York, where she worked on origination and execution of M&A , IPO, Debt and Equity issuances.
Byron Sproule – Managing Director
Prior to joining ARC China, Mr. Sproule was a Managing Director at Knox & Co., a mergers and acquisitions advisory firm with a focus on China. Prior to working at Knox, Mr. Sproule was a Senior Vice President within the Technology Investment Banking group at JP Morgan. He was also previously a senior banker within the Technology Investment Banking group at Jefferies Broadview and spent seven years working at Lehman Brothers both within the Technology Investment Banking Group (New York) and the Mergers and Acquisitions group (London). He began his investment banking career at Salomon Smith Barney, where he focused on industrial companies. Mr. Sproule has advised a wide range of public and private companies in the technology and industrial sectors. Along the way he has worked on acquisitions, divestitures and mergers of public and private companies, leveraged buy-outs by financial sponsors, initial public offerings, and the raising of debt and equity capital. Mr. Sproule has provided financial and strategic advice to public large cap companies as well as to numerous seed, early and growth stage private companies. Most recently Mr. Sproule advised China Holdings Acquisition Corp. (a $125 million SPAC) on its acquisition of Jinjiang Hengda Ceramics, which subsequently became the publicly listed company China Ceramics Co. Ltd. Mr. Sproule holds his MBA from the University of Western Ontario (Ivey School of Business) and a B.Sc. in Electrical Engineering from Queen’s University in Kingston, Canada.
Danqing Zhang — Venture Partner
Prior to joining ARC China as a Venture Partner, Danqing Zhang was employed for 18 years by the China Council for the Promotion of International Trade (CCPIT), China’s largest organization dedicated to promoting investment and trade in the country. During her lengthy career at CCPIT, Danqing served as the organization’s Representative to the United States, General Manger of International Business Consulting for China International Economic and Technical Cooperation Consultants, Inc., and Director of Business Consulting for the Economic Information Department. She is significantly experienced in strategic planning and has extensive networks of corporate and government relations. She has won numerous awards globally for her accomplishments in helping Chinese and foreign companies develop partnerships focused on investment, trade and technology exchanges.
Martin Key — Vice President
Prior to joining ARC China, Mr. Key was an investment banker in the Syndicated and Leveraged Finance Group at JPMorgan in New York, where he was primarily engaged in structuring debt financing for investment grade healthcare, consumer products, and financial services companies. He executed more than eighty revolving credit, term loan, and investment grade bond transactions totaling over $115 billion. He holds an MBA degree from the UCLA Anderson School of Management, an MS in Finance degree from Boston College, and a BS in Business Administration degree from the University of South Carolina.
Mike Ren — Vice President
Prior to joining ARC China, Mr. Ren was an investment banker at Cappello Capital in Los Angeles, where he executed cross-border mergers and acquisitions and private placement transactions. Previously he focused on buyout investments at Merrill Lynch Global Private Equity, after the investment banking analyst training program at Merrill Lynch. He graduated from Columbia University with a B.A. in Economics.
Lesley Jin — Senior Associate
Former senior consultant at Ernst & Young where she undertook a variety of tax and business development advisories as well as due diligence in the manufacturing and fast-moving consumer goods sectors. Ms. Jin started her career at PriceWaterhouseCoopers where she conducted various auditing projects in the energy, chemical, manufacturing and fast-moving consumer goods sectors. Her major clients include PetroChina, Exxon Mobil, Honeywell, Hamersley, Cummins and DuPont. Ms. Jin is a member of Chinese CPA Association.
Candice Qian – Senior Associate
Ms. Qian has been part of the team since 2010, she is a former Associate at Roth Capital Partners, where she was engaged in origination and execution of PIPEs, registered direct and follow-on offerings for Chinese companies. Ms. Qian started her career at Bertelsmann AG, where she developed new business lines eg. Inopi Educationand Life & Business Club. Ms. Qian received her Bachelor of Arts in Finance and Masters in International trade and economics from Nanjing University.
Natalie Zhu – Senior Associate
Ms. Zhu was a former senior retail analyst at JLM Pacific Epoch, where she tracked listed retail companies, including sportswear, department stores, hypermarkets, and restaurants as well as fashion brands. Prior to joining JLM Pacific Epoch, she was an analyst with the China Market Research Group (CMR), where she worked on consulting projects including ones for FMCG, luxury products, hypermarkets, and chemical producted. Ms. Zhu received her Bachelor of Arts and Masters Degrees in Chinese Literature from East China Normal University and attended school at the Johns Hopkins University-Nanjing University Center for Chinese and American Studies.
Eric Shen – Associate
Prior to joining ARC China, Mr. Shen worked as manager at Think bridge Business Consulting, where he executed various due diligence and financial consulting projects for many well -established venture capitals and private equities in retailing, new energy, health care and TMT in China. Previously he was a senior auditor at Ernst & Young where he conducted numerous auditing projects in manufacturing, finance, consumable products and real estate sectors. Mr. Shen is a CFA Charter holder and a member of Chinese CPA Association.
Eric Tong – Associate
Mr. Tong is a former Analyst at Roth Capital Partners where he assisted the US team with business development, deal structuring, and due diligence of Chinese companies. Prior to joining Roth, Mr. Tong was an Assistant Audit Manager at KPMG where he performed PRC GAAP, IFRS, and US GAAP audits and conducted due diligence engagements with major client including China Telecom, Sinopec, Yum Brands and Henkel Group etc. Mr.Tong double majored in Economics and Law in Shanghai Jiao Tong University and exchanged to University of British Columbia (UBC). He is also a member of the Chinese CPA Association.
Karen Ge – Controller
Prior to joining ARC, Ms. Ge was a fund associate at GEN II Fund Service LLC based in New York. At Gen II, Ms. Ge primarily focused on the fund accounting, reporting and operations of various US based private equity funds. Previously, Ms. Ge was a senior associate at PricewaterhouseCoopers in Shanghai, where she conducted numerous audit projects in telecom, consumable products, manufacturing and consulting sectors. Ms. Ge is a U.S certified public accountant and holds B.S in physics from Fudan University and M.S in accounting from Baruch College.
Stefan Müller — Venture Partner
Mr Müller is owner of Frankfurt Capital Markets Consulting in Germany. He advises listed and private companies in their capital markets matters. Stefan is continuously expanding ARC’s presence in Europe. Prior to this, Mr. Müller was joint owner of Proprietary Partners AG, a Swiss portfolio and fund management company. Mr. Müller started his banking career at Dresdner Bank in Düsseldorf and joined their Investment Banking Unit Dresdner Kleinwort Benson in Frankfurt as a Proprietary Trader, responsible for their world wide equity activities in growth and emerging markets. He then joined equinet AG as head of trading and moved in 2003 to Sal Oppenheim, at that time Europe’s largest private owned bank as head of Trading. During his time in these banks he executed more than 100 IPOs and capital increases. Stefan is frequently guest on CNBC and BLOOMBERG and a member of both the supervisory board of Agrarius AG and the investment committee of Freudstein GmbH.
James D. Dunning, Jr. – Senior Advisor/Principal
In addition to his role advising Arc China and as a Principal, James D. Dunning, Jr., is Chairman of Freedom Communications, a diversified media company with newspapers, broadcast tv stations and magazines. Mr. Dunning also serves as Chairman/CEO of the Dunning Group, Inc., a private company specializing in media, energy and other leveraged investments. He most recently was President/Director of China Holdings Acquisition Corp., a public investment company (AMEX). The company merged to form China Ceramics, an operating construction materials business in China. Formerly, Mr. Dunning was Chairman, President and CEO of Ziff Davis Media, Inc., a technology internet communications company in the U.S. Mr. Dunning has served as an executive at numerous media companies throughout the ’80’s and ’90’s, including USA Pubs, Inc. where he served as Chairman/CEO, Chairman/President and CEO of the Petersen Companies, Inc., a large, specialty magazine publisher (NYSE). Mr. Dunning led the group that purchased Transwestern Publishing, one of the largest yellow pages companies in the U.S. and served as Chairman/CEO. Mr. Dunning was Chairman/CEO and President of Multi-Local Media Information Group, a public yellow pages and directory company (NASDQ). Prior to establishing his buyout businesses, Mr. Dunning was an investment banker at Thomson McKinnon Securities, Inc., a leading investment bank during its time. He served as Senior Vice President and Director of Corporate Finance and was in charge of the firm’s mergers and acquisitions practice, corporate finance, venture capital and leveraged leasing groups.
David Ishag – Senior Advisor/Principal
David Ishag’s experience spans 25 years of trans-Atlantic early and late stage investing, in addition to having operated companies in technology, media and traditional industry. For the last five years David has been an active investor and advisor in a wide range of industries including oil, gas, mining, telecoms and financial services. He also acts as an special advisor to Financo, a leading boutique US investment bank operating that specialises on retail. In 1999, David joined Idealab, one of the leading internet incubators in the US and later opened their London office. Prior to Idealab he was a partner at Los Angeles based Knowledge Universe, a private equity fund established by Mike Milken and Larry Ellison. This followed positions at Capella Films where he executed over $1 billion in movie deals – including Carlito’s Way with Al Pacino, The Shadow with Alec Baldwin and the international rights to Austin Powers with Mike Myers. Notably, he also attempted to buy MGM for $1.3 billion. Though outbid by Kirkorian he acquired over $2 billion in tax losses from the vendor. On graduating from business school he was a principal in the LBO, and subsequent management of Sabre, Gillette’s surgical division. David has an MBA from Harvard and a Law Degree from the London School of Economics.
Stratis Hatzistefanis – Senior Advisor/Principal
In addition to his role advising ARC China, Stratis Hatzistefanis is currently an Investment Manager with Aktiva Capital. From November 2000 to January 2009, Mr. Hatzistefanis worked with the investment bank Dresdner Kleinwort, where he held the titles of Co-Head of Global Credit and Head of Credit Derivatives Structuring and led a business division with 130 employees and peak revenues of €250 million. From June 1998 to November 2000, he was a Senior Credit Derivatives Trader with Paribas and from June 1997 to May 1998, he was a Manager in the Structured Credit Department at Tokai Capital Markets. From 1995 to May 1997, he was an Associate in the Structured Credit Trading Group at Lehman Brothers. From 1992 to 1993, Mr. Hatzistefanis worked with IBM as a Systems Engineer after serving in the Greek Army from 1990 to 1992 and achieving the rank of Lieutenant. Mr. Hatzistefanis graduated from the University of London with a B.S. in Computer Science and holds an M.A. in Business Communications & Public Relations, summa cum laude, from European University in Athens, Greece, and an M.B.A. from Columbia Business School in New York.
Robert Imershein – Senior Advisor/Principal
In addition to his role as a Senior Advisor for ARC China, Mr. Imershein is a Managing Director of Loeb Enterprises. He brings with him a proven track record in product creation, strategic leadership and relationship-building. Mr. Imershein provides strategic insight and deal-making expertise in directing the formation of Loeb Enterprises’ strategic partnerships. Prior to working with ARC China and Loeb Enterprises, Mr. Imershein founded Capstar Partners LLC – the second largest lease advisory firm in the world. The firm pioneered the development of new financing structures and closed over $75 billion of transactions. BNP Paribas acquired a majority stake in Capstar Partners in November 2001. As Managing Director and Partner of the firm from 1990 to 2005, Mr. Imershein spearheaded many of the strategic initiatives of Capstar Partners. In this role, he applied his expertise in tax-advantaged financing and leveraged leasing as head of the Domestic Corporate Advisory Group where he led the new transaction origination efforts. He also initiated joint venture marketing arrangements with Deloitte & Touche, Morgan Stanley and LTCB Latin America and effectively cultivated long-term relationships with major corporate equity investors General Electric Capital Corporation, Philip Morris Capital Corporation and Verizon Capital Corporation. Mr. Imershein was previously a Vice President of Corporate Finance at Bankers Trust Company where he developed his expertise in tax-advantaged financing and leveraged leasing. He began his career as a Marketing Manager of Citibank’s Card Products Division where he was in charge of new Visa and MasterCard solicitations. Mr. Imershein graduated from Cornell University with a B.S. in Industrial and Labor Relations and holds an M.B.A in Finance from Harvard Business School.
